These Terms of Service ("Terms") govern your access to and use of the Universal Media X website at universalmediax.com and our Digital Concierge and Entertainment Platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Description of Services

Universal Media X ("UMX," "we," "us," or "our") provides a white-labeled Digital Concierge and Entertainment Platform for independent and boutique hotels, as well as an advertising and listing network for local businesses. Our platform enables hotel guests to access hotel information, amenities, room service, AI-powered assistance, and curated local recommendations through a branded digital interface.

2. Hotel Partners

Our core Digital Concierge platform is provided free of charge to approved hotel partners. By requesting and accepting a hotel setup, you agree to the following:

• You will provide accurate and up-to-date information about your property, amenities, and services.
• You grant UMX a non-exclusive license to display your hotel's branding, name, and content within the platform solely for the purpose of providing the service to your guests.
• You acknowledge that UMX may display approved local business advertisements and listings within the platform as part of its business model.
• You will not use the platform for any unlawful purpose or in any way that could damage, disable, or impair the platform.

UMX reserves the right to approve, suspend, or terminate any hotel partnership at its sole discretion.

3. Local Business Advertisers

Local businesses may apply to be listed and advertised on the UMX platform. By applying, you agree to the following:

• All listings are subject to approval by UMX and, where applicable, by the relevant hotel partner.
• You will provide accurate information about your business, including name, category, location, and contact details.
• Any advertising fees, rates, or payment terms will be outlined in a separate written agreement between you and UMX.
• UMX reserves the right to reject, remove, or modify any listing that violates these Terms or is otherwise deemed inappropriate.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Transmit any material that is defamatory, offensive, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of our platform or systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Collect or harvest any personally identifiable information from the platform without authorization.

5. Intellectual Property

All content, design, software, trademarks, logos, and other intellectual property on the UMX website and platform are the exclusive property of Universal Media X or its licensors. You may not copy, reproduce, modify, distribute, transmit, display, or create derivative works from any part of our intellectual property without our prior written permission.

Hotel partners and business advertisers retain ownership of their own branding and content. By submitting content to UMX, you grant us a non-exclusive, royalty-free license to use, display, and distribute that content solely in connection with providing our Services.

6. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Universal Media X shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Universal Media X and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services or your violation of these Terms.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" at the top of this page. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, NY.

11. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Universal Media X regarding your use of our Services and supersede all prior agreements and understandings.
